1. About these terms
These terms, together with your accepted quote or proposal, form our agreement. "I", "me" and "my" means Alexander Hill, a sole trader trading as AH Automation; "you" means the client named in the quote. If the quote and these terms conflict, the quote decides scope and price, and these terms decide everything else.
The agreement starts when you confirm in writing, for example by email, that you accept the quote and these terms. My services are provided to businesses, not to consumers.
2. What I provide
I help businesses save time on repetitive work. Depending on your quote, that can include:
- Bottleneck audit: a review of how your business runs, with a written report and a costed list of fixes.
- Builds: automations, integrations, AI assistants and internal tools, built and tested to the scope in your quote.
- Support plans: monitoring, fixes and small changes to work I've built.
- Advice: calls and written guidance on tools, automation and AI.
Estimates of time or money saved, including those from my calculator and audits, are based on the information you give me. I don't guarantee any particular business results, such as hours saved, cost savings or sales. If my work doesn't meet my guarantee, my main remedy is to fix it.
3. Your responsibilities
- Give me accurate information about how your business works, and your approvals, on time.
- Give me the access I need through accounts you own, at the lowest level that lets me do the work. Remove my access when the work ends, or ask me to.
- Keep the paid subscriptions your automations rely on (see section 7).
- Check the results of automations, especially AI-generated content, before relying on them or sending them to anyone (see section 15).
- Keep your own backups of important data.
- Make sure you're allowed to use the data and systems you ask me to work with, including customer data, and that you've told the people concerned what data protection law requires.
- Tell me about any rules your business must follow that affect the work, such as regulatory or contractual requirements.
4. Timeline and delays
Your quote gives an expected start date and timeline. The timeline pauses while I'm waiting for information, access or approvals from you.
If I don't hear from you for 30 days, I may close the project and invoice for work completed.
5. Handover and acceptance
When a build is ready, I show you it working, usually on a short handover call, and give you brief notes on how it works and how to pause it.
If something doesn't match your quote, tell me in writing within seven days and I'll fix it; the seven days then start again. New requests or changes of mind don't delay acceptance, and I'll quote for them separately. If you haven't raised an issue within seven days, the build is treated as accepted. Your guarantee runs from the date of handover.
6. Payment
- Bottleneck audit: paid in full when you book. If you book a build of £750 or more within 30 days of receiving your report, I take the audit fee off that build's price.
- Builds under £750: paid in full when you accept the quote.
- Builds of £750 or more: a 50% deposit when you accept the quote, and the remaining 50% on acceptance under section 5. Work starts once the deposit is paid.
- Support plans: billed monthly in advance.
- Advice: paid in advance.
Invoices are due within 14 days. I may charge interest on late payments under the Late Payment of Commercial Debts (Interest) Act 1998, and I may pause work while an invoice is overdue. I'm not VAT registered, so no VAT is charged.
7. Software and running costs
Your automations run on third-party software, such as automation platforms, AI services and the tools you already use. You pay for these directly, in accounts in your name wherever possible, so you stay in control of them. If I pay for anything on your behalf, I'll agree it with you first and recharge it at cost.
I'll tell you the running costs I expect before I build, but providers set their own prices and can change them.
8. Support plans
- Monthly plans, billed in advance. Cancel any time with 30 days' notice.
- Basic support: I monitor the automations I've built for you and fix them if they break.
- Hands-on support: basic support plus up to 3 hours of changes and improvements each month, and a monthly check-in. Unused hours don't carry over.
- I aim to respond within one working day. Work outside your plan is quoted separately.
- I'll give you 30 days' notice of any price change.
- If you cancel, your automations keep running in your accounts, but monitoring, fixes and changes stop.
9. Advice sessions
- Paid in advance, with a 30-minute minimum.
- You can move a session with at least 24 hours' notice. Later cancellations and missed sessions count as used.
- Prepaid blocks must be used within three months of purchase. Monthly advisory hours don't carry over.
- Advice is general guidance on tools and processes, not legal, financial or tax advice.
10. Changes to scope
If you ask for something that isn't in your quote, I'll tell you whether it fits and, if not, quote for it separately before starting. Changes we agree in writing, for example by email, become part of the scope.
11. Cancellation and refunds
- Audit: cancel before the audit session for a full refund. After the session, the fee isn't refundable.
- Builds: cancel before work starts for a full refund. After that, I keep the deposit to cover the time I've reserved and the work I've started. If the work completed is worth more than the deposit, you pay for that work.
- Support plans and advice: as set out in sections 8 and 9.
12. Ending the agreement for breach
Either of us may end the agreement by written notice if the other seriously breaches it and doesn't put it right within 14 days of being asked to. I may also end it if an invoice is still unpaid 14 days after a reminder.
Ending the agreement doesn't affect payments already due or rights either of us already has. Sections 3, 6, 7, 15, 16, 18, 19, 20, 21, 22, 23 and 25 continue to apply after the agreement ends.
13. My guarantee
If something I built doesn't work as described in your quote, tell me within 30 days of handover and I'll fix it at no extra cost.
This covers my own work only. It doesn't cover problems caused by changes to third-party software (see section 14), changes made by you or anyone else, new requirements, or data that's different from what we agreed. After the guarantee period, fixes are covered by a support plan or quoted separately.
14. Third-party platforms
I'm independent and not affiliated with the software providers I work with, such as Zapier, Make, Microsoft, Google, OpenAI or Anthropic. Your use of their services is governed by your agreements with them. I'm not responsible for their availability, features, pricing or outputs, or for any action they take on your account.
If a provider changes or removes something your automation relies on, I'll fix it under a support plan or quote to fix it.
15. AI-generated content
Some builds use AI to draft, summarise, sort or answer. AI can make mistakes, including stating things that aren't true.
You're responsible for checking AI outputs before relying on them or sending them to anyone, and for the accuracy of anything you publish or send, including prices, claims and offers. Where an automation could have legal, financial or similarly significant effects on people, I'll build in a step for a person to check it.
16. Limits on my liability
My total liability to you for all claims combined is limited to the fees you've paid me in the 12 months before the claim. I'm not liable for any loss of profit, sales, revenue, business, goodwill or reputation, for any loss of data you could have avoided by keeping backups, or for any indirect or consequential loss.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't be limited by law.
17. Events outside my control
I'm not responsible for delays or failures caused by events outside my reasonable control, such as internet or platform outages, serious illness or injury, or changes made by software providers. I'll tell you as soon as I can and resume as soon as possible. If a delay lasts more than 30 days, either of us may end the agreement, and I'll refund any fees paid for work I haven't done.
18. Ownership and licence
Your data, content and accounts stay yours.
Once you've paid for a build, the automations, workflows and settings I create in your accounts for your business are yours to use, change and keep, including if you stop working with me. Your audit report is yours to use in your business.
I keep ownership of my general methods, know-how, templates and reusable components, and may use them in work for other clients, but never your data or confidential information. Where a build includes one of my reusable components, you get a permanent, non-exclusive licence to use it in your own business. You may not resell or share it with other businesses.
19. Case studies
I may describe the work I did and its results in my marketing, without naming you. I'll only name your business, or use your logo or a quote from you, with your permission.
20. Confidentiality and access
I keep your business information confidential and use it only to deliver my services. I access only the accounts and data I need, using the access you give me.
I don't keep your passwords. Please share access through user accounts or a password manager, not by sending passwords by email or message. If I work through a screen share, you stay in control throughout. When my work ends, I'll remind you to remove my access.
21. Personal data I handle for you
Your automations may handle personal data, such as your customers' or staff's details. When I access or process that data to build or support your automations, I do so on your behalf, as your processor under UK GDPR. You remain the controller and decide how it's used. The data, the people it relates to and how it's used are set by the work described in your quote, for as long as my work continues.
When I act as your processor, I will:
- process the data only to deliver my services and on your documented instructions, including your quote and these terms
- make sure anyone working on it for me is bound by confidentiality
- keep it secure with appropriate technical and organisational measures
- use only the service providers listed in my privacy notice and the platforms you choose for your automations, and tell you before adding new ones so you can object
- tell you without undue delay about any data breach affecting it
- help you respond to requests from the people concerned, and with any data protection assessments you need to carry out
- delete or return it within 90 days after my work ends, unless the law requires me to keep it
- give you the information you reasonably need to show I'm meeting these terms
Please only give me access to the personal data I need, and avoid sharing special category data, such as health information, unless it's essential and we've agreed how to handle it. My privacy notice explains how I handle your own contact details.
22. Entire agreement
Your accepted quote and these terms make up the whole agreement between us. They replace anything discussed or promised before, and you confirm you haven't relied on any statement that isn't written in them. Nothing in this section limits liability for fraud.
23. General
- Severance. If any part of these terms is found invalid, the rest still applies.
- Transfer. You may not transfer this agreement without my written consent. I may use trusted subcontractors and remain responsible for their work.
- Third parties. Only you and I can enforce this agreement.
- Notices. Formal notices must be sent by email: to me at alexanderhill4131@gmail.com, and to you at the address in your quote.
24. Changes to these terms
I may update these terms. Changes apply to new work straight away, and to existing support plans after 30 days' notice. If you don't agree with a change, you can cancel your support plan before it takes effect.
25. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
